Welcome to Project Trailhead (the "App"), a mobile application owned and operated by Project Trailhead, LLC ("we," "us," or "our").

This Terms of Service ("Terms") document is a legally binding agreement between you and Project Trailhead, LLC. It governs your access to and use of our App and its content, which is designed to assist transitioning service members, veterans, and military spouses.

By creating an account, or by accessing or using our App, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms in their entirety, you may not use the App.

1. Description of Service

The App is an educational platform that provides learning modules and curated resource links on various topics relevant to military-to-civilian transition, including career planning, resume writing, interviewing skills, financial literacy, and personal well-being. The service is provided to you for your personal, non-commercial use only. The App is offered free of charge and intended for personal, non-commercial use only.

We reserve the right to modify, suspend, or discontinue all or any part of the App at any time, with or without notice.

2. Intellectual Property Rights

All content in the App, including but not limited to text, graphics, logos, module content, and software ("Content"), is the property of Project Trailhead, LLC and its licensors and is protected by U.S. and international intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, and revocable license to use the App and its Content for personal, non-commercial purposes. This license is conditioned on your compliance with these Terms and may be revoked at any time.

You may not copy, reproduce, distribute, modify, create derivative works of, or exploit the App or its Content for any commercial purpose.

3. Eligibility

You must be at least 18 years old to use the App. By using the App, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this agreement. The App is not intended for individuals under the age of 18.

Your use of the App is also subject to the terms and policies of the Apple App Store or Google Play Store, depending on your device.

4. Prohibited Conduct

As a condition of your use of the App, you agree not to:

  • Copy, reproduce, distribute, republish, sell, create derivative works from, or otherwise exploit the App or its Content for any commercial purpose or in any way that violates our intellectual property rights.

  • Reverse-engineer, decompile, disassemble, or otherwise attempt to discover the source code of the App.

  • Use the App for any fraudulent, unlawful, or malicious purpose.

  • Interfere with or disrupt the operation of the App or the servers or networks used to make the App available.

  • Use any robot, spider, site search/retrieval application, or other manual or automatic device to retrieve, index, "scrape," "data mine," or in any way gather App Content.

  • Attempt to gain unauthorized access to any user accounts or computer systems through hacking, password mining, or any other means.

Violation of these rules may result in the immediate termination of your account and legal action.

5. Third-Party Links

The App contains links to third-party websites and resources. We do not endorse and are not responsible or liable for the availability, accuracy, content, products, or services of such third-party resources. You acknowledge and agree that Project Trailhead, LLC shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such website or resource.

This section is critical. Please read it carefully.

  • A. General "As-Is" Disclaimer: THE APP AND ITS CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. PROJECT TRAILHEAD, LLC DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

  • B. No Professional Financial Advice: The App contains content related to financial topics, including budgeting, investing, taxes, and estate planning. THIS CONTENT IS FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY. It is not, and should not be considered, professional financial, investment, tax, or legal advice. You should consult with a qualified and licensed professional (such as a Certified Financial Planner®, CPA, or attorney) before making any financial decisions. Your reliance on any financial information provided in the App is solely at your own risk.

  • C. No Professional Medical Advice: The App contains content related to health and well-being, including mental health, physical fitness, and stress management. THIS CONTENT IS FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY. It is not, and should not be considered, a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PROJECT TRAILHEAD, LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE APP; (II) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN; OR (III) ANY BUGS, VIRUSES, OR TROJAN HORSES THAT MAY BE TRANSMITTED TO OR THROUGH OUR APP BY ANY THIRD PARTY.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE APP SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).

8. Dispute Resolution by Binding Arbitration

Please read this section carefully as it affects your legal rights, including your right to file a lawsuit in court.

  • Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.

  • Agreement to Arbitrate: You and Project Trailhead, LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof or the use of the App (collectively, "Disputes") will be settled by binding arbitration, except that each party retains the right to bring an individual action in small claims court.

  • Arbitration Rules: The arbitration will be administered by the American Arbitration Association ("AAA") in accordance with the Consumer Arbitration Rules (the "AAA Rules") then in effect. The arbitration will be held in Austin, Texas, unless otherwise agreed.

  • Waiver of Jury Trial: YOU AND PROJECT TRAILHEAD, LLC HEREBY WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY.

  • Waiver of Class Actions: YOU AND PROJECT TRAILHEAD, LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

9. Termination

You may terminate this agreement at any time by deleting your account and discontinuing your use of the App. We reserve the right, in our sole discretion, to suspend or terminate your account and your access to the App, without notice, for any reason, including for a breach of these Terms.

10. General Provisions

  • Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between you and Project Trailhead, LLC regarding your use of the App.

  • Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be struck, and the remaining provisions will be enforced to the fullest extent under law.

  • Changes to Terms: We reserve the right to modify these Terms at any time. If we make material changes, we will provide you with notice through the App or by other means. Your continued use of the App after such a change constitutes your acceptance of the new Terms.
